Job Summary
MTN Uganda seeks a dedicated Manager – Compliance to provide monitoring and oversight over compliance with external and internal commercial company policies and procedures. The role involves working with all business units to develop and enhance policies and procedures, ensuring alignment with regulatory requirements and improving internal control environments.
Main Job Functions
- Act as the custodian of the Compliance universe and registry of all MTN Uganda policies and procedures.
- Develop and implement compliance risk monitoring plans.
- Update commercial policy and procedure components.
- Analyze regulatory trends and their impact on company policies.
- Stay abreast of compliance and regulatory requirements within the Telecommunications Industry.
- Review and update commercial policies & procedures according to new rules & regulations.
- Evaluate the effectiveness of existing policies & procedures and work on enhancements.
- Advise senior management on necessary policy changes.
- Create and implement awareness programs for staff.
- Act as a subject matter expert on commercial policies and procedures.
- Drive continuous improvement in process standardization.
- Monitor compliance to commercial policies & procedures.
- Facilitate audits of policy & procedures compliance.
- Ensure alignment with Group policies and procedures.
- Monitor the financial performance of the commercial policies and procedures unit.
- Assess future ventures for compliance risks.
- Prepare reports for senior management and regulatory bodies.
Education Requirements
- University degree in Governance, Assurance, Audit, or Legal fields.
- Postgraduate qualification (MBA/CA/Masters) advantageous.
- Membership/Affiliation with governance associations e.g., Institute of Corporate Governance Uganda (ICGU).
Experience Requirements
- At least 5 years of management experience, with 3+ years in compliance implementation within a multinational organization in the Telecom/Financial industry.
- Experience working cross-functionally and on complex projects.
- Background in compliance areas impacting telecoms & Mobile Money.
- Analytical mind with strong understanding of procedures and regulations.
- Experience in a medium to large organization across diverse cultures.
Knowledge, Skills, and Attributes
- Exposure to GSM Network management processes, procedures, and activities.
- Unix/Linux System administration and Database Management Skills.
- Shell scripting/Programming.
- Basic IP networking knowledge.
- Quick learner with good analytical and troubleshooting skills.
- Strong communication skills and ability to work as a team player.

Main Purpose
To support MTN Uganda’s commercial legal and company secretarial portfolio.
Key Performance Areas
- Ensure compliance with internal and statutory governance requirements.
- Support operational teams in managing the company’s commercial contracting portfolio.
Main Job Functions
- Negotiating, drafting, and reviewing contracts.
- Advising on the legal and regulatory aspects of projects.
- Advising on legal and compliance matters.
- Supporting resolution of contractual and other disputes.
- Advising on corporate governance legal requirements.
- Tracking compliance with corporate policies and constitutional documents.
- Assisting with director onboarding and training.
- Developing governance calendars.
- Preparing and filing statutory notifications and documents.
- Supporting board administration and shareholder meetings.
Education Requirements
- Bachelor of Laws degree from a recognized university in Uganda.
- Postgraduate Diploma in Legal Practice from the Law Development Centre, Uganda.
- Enrolled Advocate of the High Court of Uganda.
- Postgraduate qualification in law, chartered secretarial or governance training is an advantage.
Experience Requirements
- Minimum of 5 years’ work experience, with at least 3 years in commercial law or an in-house role.
- Experience in chartered secretarial and board administration.
- Experience in legal advisory related to commercial projects and contract management.
- Knowledge of operational and governance requirements in capital markets.
- Strong technical skills in law and business communication.
- Strong interpersonal skills and commitment to continuous improvement.
- Ability to work independently and collaboratively.
- Proactive in identifying and resolving commercial and governance issues.
