Job Title: Assistant Manager Legal and Board Affairs

Key Duties and Responsibilities:
Board and Committee Role:
- Support the Manager Board Affairs in the management of all Board and Shareholder matters and secretarial services.
- Ensure timely formatting, printing, and filing of Board packs and supporting documentation.
- Assist with the effective distribution and collation of Board and Committee meeting packs.
- Review and format Board and Committee minutes and the action matrices arising therefrom.
- Follow up on actions arising from all board and shareholder meetings to ensure implementation.
- Record Board and committee decisions in the Board resolution tracker.
- Ensure correct and easily understandable dissemination of information to Directors.
- Confirm logistics for Board and Committee meetings and arrange facilities.
- Adhere to good corporate governance principles.
- Ensure proper custody of the Company’s legal documents.
- Respond to inquiries from the Board Chair and Directors regarding governance and company secretarial work.
- Keep the Manager Board Affairs updated on new developments in Corporate Governance practices.
- Implement the Corporate Governance Code.
- Prepare and file Board and Shareholder resolutions and other company forms.
- Prepare questionnaires and documentation for Board evaluations.
- Identify and implement relevant induction programs for the Board.
Court Proceedings:
- Initiate and manage legal proceedings on behalf of Uganda Airlines.
- Prepare pleadings and manage court processes.
- Prepare legal briefs and reports for management on court and arbitration matters.
- Liaise with external counsel and keep the Company Secretary updated.
Contract Development and Management:
- Act as the committee secretary to the Contracts Committee and advise on procurement and disposal laws.
- Guide Project Managers and operational staff on contract matters.
- Develop and implement procedures for contract management and administration.
- Draft, review, and negotiate contracts and agreements on behalf of Uganda Airlines.
Policies Development:
- Ensure implementation of Uganda Airlines’ internal policies and procedures.
- Participate in defining and drafting legal, regulatory, and internal policies.
- Develop, manage, and review company policies and manuals.
- Recommend changes to policies in response to regulatory and legal changes.
Advisory Services:
- Provide regular reports to keep the Board and management informed of compliance with Corporate Governance principles.
- Draft, amend, and review policies to enable effective Board oversight.
- Monitor legislative and regulatory changes and take appropriate action.
- Identify relevant training for the Board and maintain a training log.
- Follow up on decisions required from external regulators and advisers.
- Prepare legal opinions as required by Uganda Airlines and its subsidiaries.
- Assist in the preparation of Memos, correspondences, and processing Board sitting allowances.
Legal, Regulatory, and Compliance Role:
- Ensure compliance with local statutory and regulatory requirements.
- Ensure adherence to Board directives, policies, and procedures.
- Maintain statutory records and registers.
- Participate in initiatives to create awareness on compliance requirements.
- Prepare Annual reports and statutory returns.
Team Management:
- Develop and mentor staff and provide input into their training and development.
- Lead by example and build the appropriate culture and values.
- Manage staff performance and foster capacity building and career development.
Qualifications, Skills and Experience:
Academic Qualifications:
- Bachelor’s degree in Law (LLB) and a valid practicing certificate.
- Postgraduate Diploma in Legal Practice.
- Master’s or qualification in Aviation Law or Corporate/Commercial Law/Management is an added advantage.
- ICSA qualified.
Experience:
- Enrolled advocate with a valid practicing license.
- At least 8 years of experience in a busy corporate entity.
- Experience in dealing with Board matters and providing advisory services.
- Minute taking experience.
- Experience in dealing with regulatory, legal, and contractual compliance.
Required Skills:
- Excellent analytical, research, and drafting skills.
- High level of integrity and ability to work under pressure.
- Strong interpersonal skills and excellent oral and written communication skills.

Job Title: Catering Assistant (Fresher Jobs)

Duty Station: Entebbe, Uganda
Reports to: Catering Manager
About Organisation:

Key Duties and Responsibilities:
- Develop rotational In-flight catering menu.
- Prepare daily flight catering orders and submit them to the caterer.
- Supervise service providers to ensure timely flight loading & offloading.
- Budget and control all logistics of the catering section.
- Ensure timely loading and offloading of all Aircraft Catering items.
- Deliver catering items and hand them over to flight pursers.
- Supervise the loading and offloading of catering materials from the Aircraft.
- Participate in periodic food presentations with the Caterer and design proper in-flight Catering menu.
- Coordinate and organize meal uplifts from outstations.
- Monitor daily inflight consumption reports.
- Verify invoices from service providers before submission to Finance.
- Coordinate with all other ground operations staff to ensure timely flight operations.
- Attend to any other duties as may be assigned by the line superiors.
Qualifications, Skills and Experience:
Academic Qualifications:
- Diploma or equivalent in a business-related profession or a minimum of “A” level certificate with experience in Aviation catering.
- A diploma or certificate in catering is an added advantage.
Experience:
- Uninterrupted work experience of not less than 3 years in in-flight catering or culinary industry.
Required Skills:
- Good team player with fast decision-making skills.
- Driving skills in lightweight vehicles. Possession of an Airside driving permit (ADP) is an added advantage.
- Computer literate.
- Familiarity with food safety and HACCP.
